(TSX-V:SAO) (“South Atlantic” or the “Company”) has completed the previously announced financing (see new releases of February 15, 2023) wherein the Company has issued today 5,100,000 common shares (the “Shares”) at a price of $0.05 for gross proceeds of $255,000 (the “Offering”).
Certain Insiders of the Company participated in the Offering for an aggregate amount of 200,000 Common Shares. Such participation is considered a related party transaction within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (“MI 61-101“). The related party transaction will be exempt from minority approval, information circular and formal valuation requirements pursuant to the exemptions contained in Sections 5.5(a) and 5.7(1)(a) of MI 61-101, as neither the fair market value of the gross securities to be issued under the Private Placement nor the consideration to be paid by the insiders will exceed 25% of the Company’s market capitalization.
In connection with the Offering the Company has paid aggregate finders’ fees of $12,000 in cash and issued 240,000 finders warrants (“Finder Warrant”). Each Finder Warrant entitles the holder to acquire one additional Common Share at a price of $0.055 per share until March 21, 2025.
Proceeds raised from the Offering will be used by the Company for general working capital and administrative purposes.
All securities issued pursuant to the Offering will be subject to a statutory four month and one day hold period under applicable securities laws expiring on July 22, 2023.
None of the securities sold in connection with the Offering will be registered under the United States Securities Act of 1933, as amended, and no such securities may be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
